Vermont Full-Time Accountant Employment Agreement
This Agreement is made as of this [Date] day of [Month], [Year],
BETWEEN:
[Employer Legal Name], a [State of Incorporation] corporation with its principal place of business at [Employer Address], hereinafter referred to as "Employer,"
AND:

WHEREAS, Employer desires to employ Employee as a Full-Time Accountant, and Employee desires to be employed by Employer in such capacity.
NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:
1. Employment
Option A: Employer hereby employs Employee as a Full-Time Accountant, and Employee accepts such employment, subject to the terms and conditions hereinafter set forth.
Option B: Employer offers Employee the position of Full-Time Accountant, contingent upon successful completion of [Contingency, e.g., Background Check, CPA Verification].
The employment shall be located in Vermont.
2. Job Description and Duties
Option A: Employee shall perform the following duties:
- Preparation, analysis, and maintenance of financial records.
- Vermont and federal tax calculation, filing, and compliance.
- Overseeing internal financial controls.
- Payroll processing in accordance with Vermont rules.
- Handling client or departmental budgets.
- Generation of Vermont-specific reports (such as those required for the Vermont Tax Department).
- Performing statutory compliance checks under Vermont law.
- Cooperating with external auditors and state regulatory agencies.
- Maintaining knowledge and implementation of Vermont-specific statutes, including sales, use, and property tax rules.
- Mandatory continuing education to keep CPA/Vermont credentials current if required.
- Other duties as reasonably assigned by Employer.
Option B: A detailed job description is attached hereto as Exhibit A and incorporated by reference.

3. Work Location and Arrangement
Option A: The primary work location will be the Employer's office at [Employer Address] in Vermont. In-person work is required.
Option B: This is a hybrid work arrangement. The Employee will work in the office [Number] days per week and remotely [Number] days per week.
Option C: This is a fully remote work arrangement. The Employee will work remotely from their home office located at [Employee Home Office Address].
- If Option C is selected: Employee is responsible for maintaining a secure and private workspace that complies with Employer’s data security policies.

4. Employment Classification and Hours
Option A: This is a full-time employment position.
Option B: This is a part-time employment position.
The Employee’s regular work schedule will be [Number] hours per week, generally from [Start Time] to [End Time], Monday through Friday.
Overtime work may be required and will be compensated in accordance with Vermont law.
Employee is entitled to meal and rest breaks in accordance with Vermont wage and hour laws.
5. Compensation

6. Benefits

7. Intellectual Property
All work product, financial models, proprietary methods, client lists, and accounting software customizations produced by the Employee during the course of their employment are the sole and exclusive property of the Employer.
Employee agrees not to use any client or company data for any unauthorized purpose.
Employee will immediately disclose to the Employer any intellectual property created during the course of employment.
8. Confidentiality
Employee acknowledges that they will have access to confidential and proprietary information belonging to the Employer and its clients, including but not limited to financial data, tax information, and client lists.
Employee agrees to maintain the confidentiality of all such information, both during and after their employment with the Employer, in accordance with Vermont confidentiality statutes.
Employee will immediately report any suspected or actual security breach to the Employer.
Unauthorized use or disclosure of confidential information is strictly prohibited.
Upon termination of employment, Employee will return all confidential information to Employer and ensure all electronic copies are deleted.
9. Outside Work
Employee shall not engage in any outside work as an accountant or install/use third-party accounting tools and apps without prior written authorization from the Employer.
10. Behavioral and Compliance Requirements
Employee shall adhere to Vermont's professional accounting standards, internal ethics policies, and rules on fraud prevention.
Employee shall report any regulatory disciplinary actions, loss of CPA license, or legal disqualification from accounting in Vermont to the Employer immediately.
Employee shall comply with all applicable laws and regulations, including Vermont’s whistleblower protection laws.
11. Termination
Option A: This is an at-will employment relationship, and either party may terminate the employment at any time, with or without cause and with or without notice.
Option B: This is an at-will employment relationship; however, Employer will provide [Number] weeks' notice.
Upon termination, the Employee will receive a final wage settlement in compliance with Vermont law.
The Employer will provide information regarding COBRA or Vermont continuation coverage.
Employee shall immediately return all client/company records and equipment to the Employer.
Employee shall provide Employer with all relevant passwords and access information to accounting software and systems.
12. Non-Solicitation/Non-Compete
Option A: Employee agrees not to solicit any clients of the Employer for a period of [Number] months following termination of employment.
Option B: Employee agrees not to solicit any employees of the Employer for a period of [Number] months following termination of employment.
Any non-compete agreement must be reasonable in scope, duration, and geographic area, and compliant with Vermont law.

13. Anti-Discrimination and Harassment
Employer is an equal opportunity employer and complies with all applicable Vermont anti-discrimination, equal employment, and harassment prevention statutes.
Retaliation for whistleblowing or participating in Vermont Department of Labor investigations is strictly prohibited.
14. Dispute Resolution
Option A: Any disputes arising out of or relating to this Agreement shall be resolved through mediation in Burlington, Vermont.
Option B: Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in Burlington, Vermont.
This Agreement shall be governed by and construed in accordance with the laws of the State of Vermont.
15. Workers' Compensation and Unemployment Insurance
Employee is covered by Vermont workers' compensation insurance.
Employee is eligible for Vermont unemployment insurance.
16. Remote/Hybrid Work Provisions (If Applicable)
Employee will adhere to Employer’s policies regarding physical and data security while working remotely.
Employee is responsible for maintaining a safe and secure work environment while working remotely.
17. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
