Kentucky Executive Assistant Employment Contract

This Kentucky Executive Assistant Employment Contract (the "Agreement") is made and entered into as of [Date of Signing], by and between:

1. Employment.

Option A: Employer hereby employs Employee as a full-time Executive Assistant.

Option B: Employer hereby employs Employee as a part-time Executive Assistant.

2. Position and Responsibilities.

2.2. Reporting Structure: Employee will report directly to [Name of Executive or Position].

2.3. Primary Responsibilities: Employee's responsibilities shall include, but not be limited to, the following:

  • Calendar management for [Name of Executive or Department].
  • Scheduling meetings and coordinating logistics, including venue selection within Kentucky.
  • Handling correspondence, including drafting, reviewing, and distributing emails and letters.
  • Liaising with stakeholders, including internal teams, vendors, and clients located within Kentucky and outside of Kentucky.
  • Managing confidential information.
  • Coordinating travel arrangements, adhering to Employer's travel policy.
  • Preparing and submitting expense reports in compliance with Kentucky business expense laws.
  • Preparing and editing executive materials, including presentations and reports.

3. Work Location.

Option A: The primary work location shall be at Employer's office located at [Office Address] in Kentucky.

Option B: The primary work location shall be remote, subject to Employer's remote work policy. Employee will work from [Employee's Home Address] located in Kentucky. Employee understands that they are responsible for ensuring compliance with all applicable Kentucky laws related to their remote work.

Option C: The employment is hybrid. Employee will work at the office located at [Office Address] [Number] days per week and will work remotely [Number] days per week, as agreed with [Name of Executive or Position].

4. Term and At-Will Employment.

Option A: This Agreement shall commence on [Start Date] and shall continue until terminated as provided herein. Employment is at-will and may be terminated by either party at any time, with or without cause or notice.

5. Hours of Work.

6. Compensation.

7. Benefits.

9. Confidentiality.

Employee acknowledges that they will have access to confidential and proprietary information of Employer, including, but not limited to, business strategies, financial information, customer lists, and trade secrets. Employee agrees to hold all such information in strict confidence and not to disclose it to any third party during or after employment, consistent with Kentucky law on trade secrets.

10. Conflict of Interest.

Employee agrees to avoid any conflict of interest with Employer. Employee will disclose any potential conflicts of interest to Employer in writing. If the Employer operates in or interacts with public entities in Kentucky, the employee must adhere to Kentucky’s ethics standards.

11. Secondary Employment.

Option A: Employee is permitted to engage in secondary employment, provided that such employment does not interfere with Employee's duties to Employer.

Option B: Employee is prohibited from engaging in any secondary employment without prior written consent from Employer.

12. Data Protection and IT Usage.

Employee agrees to comply with Employer's information security policies and all applicable Kentucky privacy laws, including the Kentucky Personal Information Security and Breach Investigation Procedures and Practices Act.

13. Intellectual Property.

Employee agrees that all intellectual property created by Employee in the course of employment shall be the sole property of Employer, consistent with Kentucky contract law's rules for work-for-hire arrangements.

14. Workplace Conduct.

Employer is committed to providing a workplace free of discrimination and harassment. Employee agrees to comply with all applicable federal and Kentucky anti-discrimination laws, including those prohibiting discrimination based on race, national origin, color, religion, sex, age, disability, or other protected characteristics.

15. Non-Competition/Non-Solicitation/Non-Disclosure.

Option A: During the term of employment and for a period of [Number] months following termination of employment, Employee shall not, directly or indirectly, engage in any business that competes with Employer within a [Number] mile radius of Employer's principal place of business in Kentucky.

Option B: During the term of employment and for a period of [Number] months following termination of employment, Employee shall not solicit any employees or customers of Employer.

Option C: During and after employment, Employee shall not disclose confidential information of Employer to any third party.

These clauses are to be narrowly tailored to be enforceable under Kentucky law.

16. Termination.

Either party may terminate this Agreement at any time, with or without cause, subject to Kentucky's at-will employment laws. Upon termination, Employee will be paid all wages owed in accordance with Kentucky's prompt payment requirements.

Upon termination, Employee shall return all Employer property, including computers, phones, documents, and confidential information.

Option A: Employer will provide [Number] weeks of severance pay upon involuntary termination without cause.

Option B: No severance pay will be provided upon termination.

17. Dispute Resolution.

Any dispute arising out of or relating to this Agreement shall be resolved through [Method of Dispute Resolution, e.g., mediation, arbitration, or litigation in Kentucky courts]. Kentucky law shall govern the interpretation and enforcement of this Agreement.

18. Worker's Compensation and Workplace Safety.

Employee is covered by Employer's worker's compensation insurance. Employer will comply with the Kentucky Occupational Safety and Health program requirements.

19. Drug-Free Workplace and Background Checks.

Option A: Employer maintains a drug-free workplace. Employee may be subject to drug testing in accordance with Employer's drug-free workplace policy and Kentucky law.

Option B: Employment is contingent upon successful completion of a background check, in compliance with Kentucky law.

20. Document Retention and Access to Personnel Files.

Employer will retain employee records in accordance with Kentucky law. Employee has the right to access their personnel file as provided by Kentucky law.

21. Amendment.

This Agreement may be amended only by a written instrument signed by both parties.

22. Entire Agreement.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

23. Severability.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
