This Vermont IT Independent Contractor Agreement (the "Agreement") is made and entered into as of [Date] by and between:

Compensation

Independent Contractor Status

The Contractor is an independent contractor and not an employee of the Client. The Contractor is not entitled to any benefits, including unemployment or workers’ compensation coverage. The Contractor shall provide evidence of business registration (if operating as an LLC or corporation) and appropriate insurance (e.g., professional liability/cyber insurance) as required by Vermont statutes or Client policy.

Compliance with Laws

The Contractor shall comply with all Vermont state and U.S. federal laws applicable to IT services, including anti-spam, export control, cybersecurity, and accessibility regulations.

Liability and Indemnification

Option A: The Contractor shall be liable for any damages caused by their professional negligence. The Client agrees to indemnify and hold harmless the Contractor from any claims arising from the Client's use of the work product.

Option B: The Contractor's liability shall be limited to the total amount paid by the Client to the Contractor under this Agreement. The parties agree to mutual indemnification as described in Exhibit F, attached hereto and incorporated by reference.

Contract Modification, Assignment, and Subcontracting

This Agreement may be modified only by a written instrument signed by both parties. The Contractor may not assign this Agreement without the Client's prior written consent. Subcontracting is [Permitted/Not Permitted] [with/without] the Client’s written consent.

Term and Termination
