This Vermont Design Independent Contractor Agreement (the “Agreement”) is made and entered into as of [Date], by and between:

9. Professional Standards

The Contractor will adhere to professional standards and industry best practices in the field of design.

10. Liability and Indemnification

The Contractor is responsible for any third-party IP infringement or design defects. The Contractor will indemnify the Client against any claims arising from the Contractor's services, to the extent permitted by Vermont law.

11. Subcontracting

12. Insurance
