1. Scope of Services

6. Intellectual Property

- Confidentiality: Both parties agree to hold each other's confidential information in confidence and not to disclose such information to any third party without the other party's written consent. This obligation shall survive termination of this Agreement.
7. Data Protection and Privacy
- Data Protection: The Service Provider shall comply with all applicable data protection laws, including, but not limited to, the New Hampshire Revised Statutes Annotated (RSA) 359-C:2, and any applicable federal laws.
- Privacy:
- Option A: The Service Provider will collect and use the Client's personal information only for the purpose of providing the services under this Agreement.
- Option B: The Service Provider will not collect any personal information from the Client.
8. Non-Compete and Non-Solicitation (Optional. Review enforceability under NH law)
- Non-Compete:

10. Indemnification and Limitation of Liability

- Option A: In no event shall either party be liable to the other party for any indirect, incidental, consequential, or punitive damages.
- Option B: The Service Provider's total liability under this Agreement shall be limited to the amount of fees paid by the Client to the Service Provider under this Agreement.
11. Warranty
- Warranty: The Service Provider warrants that the services will be performed in a professional and workmanlike manner.

12. Force Majeure

- Option A: Notices may also be sent by email to the email addresses set forth in the preamble of this Agreement.
17. Amendments and Waiver
- Amendments: This Agreement may be amended only by a written instrument signed by both parties.
- Option A: No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced.
18. Assignment
- Assignment:
- Option A: Neither party may assign this Agreement without the prior written consent of the other party.
- Option B: The Service Provider may assign this Agreement to a subsidiary or affiliate without the Client's consent. The client may assign this agreement to a successor entity.
19. Entire Agreement, Severability, and Survivability
- Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
- Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Survivability: The provisions of this Agreement that by their nature should survive termination, including, but not limited to, confidentiality, indemnification, and limitation of liability, shall survive termination.
20. New Hampshire-Specific Considerations (Optional - Edit/Remove as Applicable)
