This Independent Contractor Agreement (the “Agreement”) is made and entered into as of this [Date], by and between:

2. Independent Contractor Status

17. Force Majeure

• Assignment: This agreement may not be assigned by either party without the prior written consent of the other party.

• Survival: The provisions of Sections 8, 9, 10, 11, and 14 shall survive the termination of this agreement.

• Counterparts: This agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

• Electronic Signatures: This agreement may be executed by electronic signature, which shall be considered binding.

19. Iowa Specific Considerations
