This Marketing Independent Contractor Agreement ("Agreement") is made and entered into as of [Date], by and between:

4. Compensation

6. Confidentiality

7. Independent Contractor Status

8. Subcontracting

- All permitted subcontractors must enter into similar confidentiality, non-disclosure, and assignment agreements, observing Illinois-specific labor and misclassification laws under the Illinois Employee Classification Act and the Illinois Wage Payment and Collection Act.
9. Liability and Indemnification
- Contractor shall be liable for delays, non-performance, negligence, or violation of advertising laws, including the Illinois Deceptive Trade Practices Act.
- Contractor agrees to indemnify and hold Client harmless from any and all claims, damages, and expenses arising out of Contractor's performance of this Agreement.

10. Termination

14. Representations and Warranties
- Contractor represents and warrants that all creative content is original and does not infringe upon any third-party rights.
- Contractor represents and warrants that Contractor's use of intellectual property is lawful.
15. Additional Illinois-Specific Provisions
