This Illinois Consulting Independent Contractor Agreement (the "Agreement") is made and entered into as of this [Date], by and between [Client Name], a [Client Entity Type] with its principal place of business at [Client Address] ("Client"), and [Contractor Name], a [Contractor Entity Type] with its principal place of business at [Contractor Address] ("Contractor").

1. Description of Services

3. Compensation and Payment

5. Business Registrations and Licenses

Contractor is responsible for maintaining all required business registrations, professional licenses, and regulatory permits required to perform the services in Illinois. [Specific Licenses or Permits, if applicable].

6. Ownership and Intellectual Property

Option A: Work Made for Hire: All work product created by Contractor under this Agreement shall be deemed "work made for hire" and shall be owned exclusively by Client.

Confidentiality: Contractor shall protect Client's proprietary and confidential information.

7. Limitations of Authority

Contractor agrees to hold Client's confidential information in strict confidence and not disclose it to any third party. 9. Non-Solicitation/Non-Compete (If Applicable)

11. Dispute Resolution

16. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

18. Compliance with Laws

Contractor shall comply with all applicable federal, state, and local laws and regulations, including but not limited to anti-discrimination, harassment, accessibility, and workplace safety regulations.

19. Electronic Signatures

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Electronic signatures shall be valid and enforceable under the Illinois Electronic Commerce Security Act.
