This Idaho HR Independent Contractor Agreement ("Agreement") is made and effective as of [Date], by and between:

Work Location and Travel

Intellectual Property

Option B: All work product created by Contractor for Client, including HR content, templates, or discoveries, shall be owned by the Client. Contractor will store, return, or delete said intellectual property in line with Idaho law.
Independent Contractor Status
Contractor acknowledges and agrees that they are an independent contractor and not an employee of Client. Contractor is not eligible for any employee benefits from Client. Contractor is solely responsible for all tax reporting duties, workman’s compensation, unemployment insurance, local and state taxes, and business insurance responsibilities per Idaho regulations.
Licensing and Insurance
Contractor represents and warrants that they maintain all required licenses, professional certifications, and insurance, including professional liability insurance, as required by Idaho law. Contractor shall provide Client with proof of such insurance upon request.
Liability and Indemnification
Contractor shall be liable for any professional errors, privacy/data breaches as defined by Idaho law, unlawful employment practices, or non-compliance with Idaho labor statutes. Contractor agrees to indemnify and hold Client harmless from any resulting regulatory actions, fines, or lawsuits.
Non-Solicitation and Non-Compete
Option A: During the term of this Agreement and for a period of [Number] months following termination, Contractor shall not solicit, hire, or attempt to solicit or hire any employee of Client.
Option B: During the term of this Agreement and for a period of [Number] months following termination, Contractor shall not compete with Client within a radius of [Number] miles of Client's principal place of business in Idaho, provided such restriction is reasonable and enforceable under Idaho law.
Option C: There is no non-solicitation or non-compete clause in this agreement.
Term and Termination

Assignment
This Agreement may not be assigned or transferred by either party without the prior written consent of the other party, except as permitted by Idaho law.

Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
