This Idaho Consulting Independent Contractor Agreement (the "Agreement") is made as of [Date], by and between:

Independent Contractor Status

Liability and Indemnification

The Consultant is responsible for any professional errors/omissions, delays, substandard performance, or confidentiality breaches caused by the Consultant.

The Consultant shall indemnify and hold the Client harmless from any and all third-party claims arising out of the Consultant's performance under this Agreement.

The Client is responsible for providing the Consultant with timely information, access, and approvals necessary for the Consultant to perform the services.

Insurance

The Consultant shall maintain professional liability insurance with a minimum coverage amount of [Dollar Amount].

Option A: The Client shall be named as an additional insured on the Consultant's professional liability insurance policy.

Term and Termination

Compliance with Laws

Assignment and Subcontracting

Option A: The Consultant may not assign its obligations under this Agreement without the Client's prior written consent.

Option B: The Consultant may subcontract portions of the consulting work, subject to the Client's prior written approval.

Representations and Warranties

Each party represents and warrants that it is duly authorized and able to enter into this Agreement.

Each party represents and warrants that all information provided to the other party is accurate to the best of their knowledge.

Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to events beyond its reasonable control, including but not limited to earthquakes, fires, government orders, or other force majeure events specific to Idaho.

Notice

All notices required or permitted under this Agreement shall be in writing and shall be deemed to be effective upon delivery if delivered personally, by certified mail, or by electronic delivery to the addresses set forth above.

Entire Agreement and Amendment

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, relating to the subject matter of this Agreement.

This Agreement may be amended only by a written instrument signed by both parties.

Severability, Waiver, and Counterparts

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced.

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
