This Wyoming Marketing Independent Contractor Agreement (the “Agreement”) is made and entered into as of this [Date], by and between:

1. Scope of Services

2. Location of Services

  • Option A: Services shall be performed remotely.

5. Independent Contractor Status

6. Intellectual Property

  • Option B: The Contractor shall retain ownership of all intellectual property rights in and to any materials created by the Contractor in connection with the Services, but grants the Client a perpetual, irrevocable, non-exclusive license to use such materials.
  • Ownership of intellectual property rights in campaign materials, creative content, data analysis reports, social media assets, marketing lists, and any trademark or copyrightable works shall vest in [Client Name/Contractor Name].

7. Confidentiality

  • The Contractor shall hold all confidential information of the Client in strict confidence and shall not disclose such information to any third party without the Client's prior written consent, in accordance with Wyoming privacy laws.

8. Subcontracting

Upon termination of this Agreement, the Contractor shall return or permanently delete all Client materials, including data, marketing materials, and brand assets, and cease all use of Client accounts.

13. Governing Law and Dispute Resolution

  • This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming.
  • Any dispute arising out of or relating to this Agreement shall be resolved through mediation in Wyoming prior to initiating any litigation. If mediation is unsuccessful, the parties agree to submit to binding arbitration in Wyoming.

14. Force Majeure

Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to any cause beyond its reasonable control, including but not limited to acts of God, war, terrorism, severe weather in Wyoming, or other regional emergencies.

15. Reporting and KPIs

The Contractor shall provide regular reports to the Client on the progress of the Services, including measurable key performance indicators (KPIs) tailored to the Client’s Wyoming market or audience.

16. Amendment

This Agreement may be amended only by a written instrument signed by both parties.

17. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

18. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Binding Effect

This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.
