This Wyoming Cleaning Service Contract (the “Agreement”) is made and entered into as of this [Date] by and between:

3. Materials and Equipment

Option A: Provider will supply all cleaning materials, equipment, and agents necessary to perform the services.

Option B: Client will supply all cleaning materials, equipment, and agents. Provider will only supply labor.

Option C: Provider will supply [List of Specific Items] and Client will supply [List of Specific Items].

All cleaning agents used will comply with Wyoming and local municipal environmental and health codes and safety standards. If required, Provider will use green or hypoallergenic products. [Specify if required, e.g., "Provider will use only Green Seal certified products."].

4. Staff Vetting, Training, and Conduct

Provider will perform thorough background checks on all employees per Wyoming law.

5. Compliance with Laws

Provider will comply with Wyoming worker’s compensation laws, state minimum wage and hour statutes, and all relevant employment regulations.

Provider will obtain and maintain all required business licenses, local permits, and applicable certifications in each Wyoming municipality where services are rendered.

6. Pricing and Payment

10. Indemnification

Provider will indemnify and hold harmless Client from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to Provider’s negligence, employee misconduct, or equipment failure, subject to Wyoming's modified comparative fault legal standard.

11. Quality Assurance

16. Subcontracting and Assignment

Option A: Provider may subcontract portions of the services, but will remain responsible for the performance of all subcontractors and ensure their compliance with all terms of this Agreement and Wyoming labor laws. Subcontractor disclosure is required to the client.

Option B: Provider may not subcontract any portion of the services without the prior written consent of Client.

This Agreement may not be assigned by either party without the prior written consent of the other party.

17. Intellectual Property

Ownership of any custom checklists, training documents, or cleaning methodologies developed for this engagement will belong to [Provider/Client/Jointly Owned].

18. Liability and Remedies

Monetary damages will be capped where allowed under Wyoming law.

Liability for consequential damages is excluded where permitted.

22. Entire Agreement, Modification, and Severability

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, relating to the subject matter hereof.

Any modification, waiver, or supplement to this Agreement must be in writing and signed by both parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

23. Notice

All notices shall be sent to addresses listed at top of contract.

24. Governing Law

The Laws of the State of Wyoming shall govern this contract.
