This Washington Accounting Independent Contractor Agreement (the “Agreement”) is made and entered into as of this [Date], by and between:

5. Ownership and Confidentiality

The Contractor shall implement and maintain appropriate data security measures to protect Client information, including secure document storage, password management, and data encryption.
Breach Notification:
The Contractor shall notify the Client immediately of any breach of confidentiality or data security per RCW 19.255.
6. Independent Contractor Status
The Contractor is an independent contractor and not an employee, partner, joint venturer, or agent of the Client.
The Contractor is solely responsible for all business registration (UBI number), local business licenses, professional liability insurance, and applicable employment taxes (including self-employment and unemployment taxes). The Contractor acknowledges the client is not liable for Washington workers’ compensation or any other statutory contributions on the contractor's behalf.
7. Limitation of Liability
The Contractor's liability for any damages arising out of this Agreement shall be limited to [Dollar Amount].
The Contractor shall maintain professional liability insurance with minimum coverage of [Dollar Amount].
The Contractor will notify the client immediately of any claims or regulatory audits.
8. Dispute Resolution
Negotiation:
The parties shall first attempt to resolve any disputes through good faith negotiation.

Arbitration:

9. Compliance with Laws

Waiver: No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced.
Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
Amendment: This Agreement may be amended only by a written instrument signed by both parties.
Notice: All notices under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified mail, return receipt requested, or sent by email to the addresses set forth in the preamble to this Agreement.
Licensure: The Contractor shall maintain up-to-date licensing and registration with the Washington State Board of Accountancy and shall notify the Client immediately of any suspension, revocation, or lapse of licensure.
