Scope of Work

Contractor Licensing and Insurance

Project Management and Supervision

Compliance with Laws and Regulations

Contractor shall comply with all applicable federal, state, and local laws, ordinances, rules, and regulations, including but not limited to zoning regulations, building codes, fire safety regulations, environmental regulations, and accessibility requirements (ADA and TN statutes).

Lien Rights and Releases

Contractor hereby notifies Client that Contractor has lien rights under Tennessee law. Contractor and its subcontractors have the right to file a mechanic's and materialmen's lien against the property if they are not paid for their work or materials. Client shall receive pre-lien notices as required by Tennessee law. Contractor shall provide partial and final lien waivers upon receipt of payment.

Change Orders

No changes to the scope of work or contract price shall be made without a written change order signed by both Contractor and Client. The change order shall clearly describe the change, the effect on the contract price and schedule, and must be approved by the Client prior to implementation.

Force Majeure

Neither party shall be liable for delays or failures in performance caused by events beyond their reasonable control, including but not limited to acts of God, weather events, labor disputes, supply chain disruptions, and governmental actions. The affected party shall promptly notify the other party of such event and take reasonable steps to mitigate the impact.

Substantial and Final Completion

  • Substantial Completion: Occurs when the work is sufficiently complete in accordance with the contract documents so that the Client can occupy or utilize the project for its intended purpose.
  • Final Completion: Occurs when all work is fully completed in accordance with the contract documents, including punch list items and receipt of Certificate of Occupancy.

Inspections and Acceptance

The work shall be subject to inspections by the Client and any applicable governmental authorities. Upon completion, the Client shall conduct a final walk-through with the Contractor to create a punch list of any remaining items to be completed.

Performance and Payment Bonds

  • Option A: Contractor shall provide a performance bond and a payment bond in the amount of [Dollar Amount].

Residential Construction (If Applicable)

Warranty
