Option A: Provider will not use subcontractors without prior written approval from Client.

Option B: Provider may use subcontractors but will ensure they meet the same standards, insurance, and clearance requirements as Provider staff.

20. Force Majeure

Neither party shall be liable for any failure to perform its obligations under this Agreement if such failure is caused by a force majeure event, as defined under Pennsylvania law, including acts of God, war, terrorism, or government regulation. In such event, the affected party will provide prompt notice and make reasonable efforts to resume performance.

21. Governing Law & Venue

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania. The exclusive venue for any disputes arising out of or relating to this Agreement shall be in the courts of [County Name] County, Pennsylvania.
