5. Intellectual Property

All intellectual property developed by Contractor specifically for Client as part of the services under this Agreement, including but not limited to HR documentation, training materials, and policy documents, shall be considered "work made for hire" and shall be owned exclusively by Client. Contractor retains ownership of any pre-existing materials incorporated into the work.

6. Confidentiality

Contractor shall maintain the confidentiality of all employee and corporate data received from Client. Contractor shall not disclose any confidential information to any third party without Client’s prior written consent, except as required by law. Contractor shall immediately notify Client of any unauthorized access, use, or disclosure of confidential information. Contractor will adhere to all applicable Oklahoma data protection obligations.

7. Non-Solicitation & Non-Compete

Non-Solicitation: During the term of this Agreement and for a period of [Number] months following its termination, Contractor shall not solicit, directly or indirectly, any employee or customer of Client.

15. Force Majeure

Neither party shall be liable for any failure to perform its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, war, or terrorism.

16. Assignment & Subcontracting

Contractor shall not assign or subcontract any of its obligations under this Agreement without Client’s prior written consent.

17. Statement of Relationship

Contractor is not a joint venture, partner, or legal representative of Client for any purpose.

Contractor shall cooperate with Client in connection with any regulatory notifications, audits, or compliance matters specific to HR functions.

19. Government Reporting

20. Insurance Coverage
