This Cleaning Service Agreement (the “Agreement”) is made and entered into as of [Date], by and between:

1. Scope of Services

2. Cleaning Supplies and Equipment

Option B: Service Provider-Provided

Service Provider will provide all necessary cleaning supplies and equipment. Service Provider will use only approved materials and will provide a list of chemicals used on site to Client upon request. Service Provider is responsible for safe chemical storage and OSHA workplace compliance.

3. Health and Safety

Option A: General Compliance

Service Provider will comply with all applicable Oklahoma health and safety regulations, including those enforced by the Oklahoma Department of Labor.

Option B: Specific Requirements

For cleaning services related to industrial, commercial, or hazardous materials, Service Provider will ensure all employees have completed mandated training and hold required licenses. Service Provider is responsible for the proper disposal of waste in compliance with Oklahoma hazardous waste and environmental regulations.

4. Access to Premises

Option A: Key Access

Client will provide Service Provider with [Number] keys to access the premises. Upon termination of this agreement, all keys will be returned to the Client.

Option B: Security Code Access

5. Staffing and Conduct

Service Provider’s employees will adhere to a professional code of conduct, including wearing uniforms, displaying identification badges, and refraining from smoking or soliciting Client’s staff.

6. Insurance

Option A: Standard Coverage

Service Provider maintains general liability insurance with limits of [Dollar Amount] and workers' compensation coverage as required by Oklahoma law. Certificate of Insurance will be provided upon request.

Option B: Specific Requirements

7. Payment Terms

Option A: Flat Fee

11. Force Majeure

13. Exclusions

Service Provider is not responsible for the removal of hazardous materials, mold, or biohazard remediation. These services must be contracted separately.

14. Intellectual Property

Client acknowledges that any proprietary cleaning methods, checklists, or training materials provided by Service Provider are the exclusive property of Service Provider.

15. Non-Solicitation

Client agrees not to solicit or hire any of Service Provider’s employees for a period of [Number] [Months/Years] following the termination of this Agreement.

16. Amendments

Any amendments to this Agreement must be in writing and signed by both parties.

17. Dispute Resolution
