This Nevada Consulting Independent Contractor Agreement (the “Agreement”) is made and entered into as of this [Date] by and between:

1. Scope of Services

4. Compensation

    • Contractor is responsible for obtaining and maintaining all necessary Nevada business licenses, including city and state licenses, and any professional licenses required for the consulting discipline.

    6. Confidentiality

    Contractor acknowledges that during the course of this Agreement, Contractor may have access to confidential information of Client, including but not limited to trade secrets, customer lists, financial information, and business strategies. Contractor agrees to hold all such confidential information in strict confidence and not to disclose it to any third party without Client's prior written consent. This obligation of confidentiality shall survive the termination of this Agreement for a period of [Number] years. See Nevada Revised Statute (NRS) 600A.

    • Exceptions: The confidentiality obligations shall not apply to information that is publicly available, already known to Contractor, or required to be disclosed by law.
    • Industry-Specific Compliance: Contractor will comply with all applicable Nevada laws and regulations regarding data privacy and security specific to the consulting field.

    7. Intellectual Property

    All intellectual property created by Contractor in connection with the services under this Agreement, including but not limited to reports, deliverables, analyses, and proprietary methodologies, shall be owned by:

      • Client shall own all right, title, and interest in and to such intellectual property. Contractor hereby assigns to Client all such intellectual property.
    • Option B: Contractor
      • Contractor shall retain ownership of all intellectual property. Client shall have a non-exclusive, royalty-free license to use such intellectual property for its internal business purposes.
      • Assignment: Contractor shall execute all documents necessary to assign ownership of intellectual property to Client, if applicable.
      • License Back: If Contractor retains ownership, Client will be granted a non-exclusive, royalty-free license.
      • Documentation: Contractor shall provide all necessary documentation to Client upon termination of the agreement.

      8. Limitation of Liability and Indemnification

      Contractor shall be liable for damages resulting from Contractor's negligence or willful misconduct. Client shall be liable for damages resulting from Client’s negligence or willful misconduct.

      • Indemnification: Contractor agrees to indemnify and hold Client harmless from any and all claims, losses, damages, liabilities, costs, and expenses (including attorney's fees) arising out of or relating to Contractor's breach of this Agreement or Contractor's negligence or willful misconduct. Client agrees to indemnify and hold Contractor harmless from any and all claims, losses, damages, liabilities, costs, and expenses (including attorney's fees) arising out of or relating to Client's breach of this Agreement or Client’s negligence or willful misconduct.
      • Insurance: Contractor shall maintain professional liability/errors and omissions insurance with coverage of at least [Dollar Amount] per claim.

      9. Non-Competition and Non-Solicitation

      • Non-Competition: During the term of this Agreement and for a period of [Number] [Months/Years] following termination, Contractor shall not, directly or indirectly, engage in any business that competes with Client's business within [Geographic Area, e.g., Clark County, Nevada].       10. Compliance with Laws

      11. Amendments, Waivers, and Assignment

      • Amendments: This Agreement may be amended only by a written instrument signed by both parties.
      • Waivers: No waiver of any provision of this Agreement shall be effective unless in writing and signed by the party against whom the waiver is sought to be enforced.
      • Assignment: This Agreement may not be assigned by either party without the prior written consent of the other party.

      12. Dispute Resolution

      Any dispute arising out of or relating to this Agreement shall be resolved as follows:

      • Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation.
      • Mediation: If negotiation fails, the parties shall submit the dispute to mediation in [City, Nevada].
      • Arbitration: If mediation fails, the parties shall submit the dispute to binding arbitration in [City, Nevada], in accordance with the rules of the American Arbitration Association. The laws of the State of Nevada, including NRS chapters relevant to consulting and contract enforcement, shall govern.

      13. Force Majeure

      Neither party shall be liable for any delay or failure to perform its obligations under this Agreement to the extent that such delay or failure is caused by a force majeure event, including but not limited to acts of God, war, terrorism, natural disasters specific to Nevada (e.g., flash floods, extreme heat), or governmental regulations.

      14. Representations and Warranties

      Each party represents and warrants that it has the legal right and authority to enter into this Agreement and to perform its obligations hereunder. Contractor warrants that the services will be performed in a professional and workmanlike manner.

      15. Nevada Tax Reporting and Business Registration

      Contractor acknowledges and agrees to comply with all Nevada tax reporting and business registration obligations for independent contractors. Contractor shall provide Client with all necessary documentation to comply with Nevada tax laws. Contractor shall indemnify Client for any failure to comply.

      16. Notices

      All notices required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally or sent by certified mail, return receipt requested, to the addresses set forth in the preamble to this Agreement.

      17. Continuing Obligations

      The following provisions shall survive the termination of this Agreement: Sections 6 (Confidentiality), 7 (Intellectual Property), 8 (Limitation of Liability and Indemnification), 9 (Non-Competition and Non-Solicitation), and 12 (Dispute Resolution). Contractor shall also assist with legal proceedings related to consulting services rendered.
