Louisiana Consulting Services Agreement
This Louisiana Consulting Services Agreement (the "Agreement") is made and effective as of [Date], by and between:

and

1. Services

2. Location of Services

4. Client’s Responsibilities

Option A: Client shall indemnify and hold harmless Consultant from any claims, damages, or expenses arising out of Client's provision of inaccurate or incomplete information.
15. Dispute Resolution

20. Assignment
Neither party may assign this Agreement without the prior written consent of the other party.
21. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written. No modification to this agreement is valid unless in writing and signed by both parties.
22. Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
