Louisiana Accounting Independent Contractor Agreement
This Accounting Independent Contractor Agreement (the “Agreement”) is made and entered into as of [Date] by and between:

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. Services

- Option B: Financial statement preparation, including preparing balance sheets, income statements, statements of cash flows, and statements of retained earnings in accordance with Generally Accepted Accounting Principles (GAAP).
- Option C: Payroll processing, including calculating payroll taxes, preparing payroll checks, and filing payroll tax returns (including Louisiana state and parish taxes).
- Option D: Tax preparation and filing, including preparation of federal and Louisiana state and local tax returns.
- Option E: Audit support, including assisting with the preparation of audit schedules and responding to auditor inquiries.
- Option F: Internal controls review and consulting.
- Option G: Compliance consulting with Louisiana business entity requirements.
- Option H: [Industry-specific regulatory tasks relevant to Client’s Louisiana business]
2. Deliverables
The Contractor shall provide the following deliverables to the Client:

6. Ownership of Work Product

All deliverables, work-in-progress, and any underlying documentation become the property of the client.
7. Confidentiality
Contractor shall maintain the confidentiality of all Client information and shall not disclose such information to any third party without Client’s prior written consent, in accordance with Louisiana and industry-specific privacy laws and ethical obligations under the Louisiana State Board of CPAs. Upon termination of this Agreement, Contractor shall return or destroy all Client information.
8. Data Protection and Security
Contractor shall implement and maintain reasonable data protection and cybersecurity procedures to protect Client’s information from unauthorized access, use, or disclosure, in compliance with Louisiana’s Database Security Breach Notification Law.
9. Subcontracting
Contractor shall not subcontract or delegate any of the Services without Client’s prior written consent, and shall ensure that any subcontractors comply with all terms of this Agreement, including confidentiality and data protection requirements, as needed or restricted by Louisiana law.
10. Representations and Warranties
Contractor represents and warrants that:
- Contractor is qualified and competent to perform the Services.
- Contractor holds all necessary Louisiana professional and business licenses (if applicable), and will maintain them during the term of this agreement.
- Contractor will comply with all applicable federal, Louisiana state, and parish laws and regulations.
- Contractor maintains professional liability insurance in the amount of [Dollar Amount].

11. Indemnification
