Hawaii Cleaning Service Contract

This Cleaning Service Contract (the “Agreement”) is made and entered into as of [Date] by and between:

WITNESSETH:

1. Scope of Work

Option A: The Provider shall perform the cleaning services as described in Exhibit A attached hereto, which is incorporated herein by reference.

2. Products and Equipment

Option A: The Provider will furnish all necessary cleaning products, chemicals, and equipment to perform the services outlined in this Agreement. All products and equipment will be in compliance with Hawaii Occupational Safety and Health (HIOSH) regulations.

Option B: The Provider will furnish the following cleaning products, chemicals, and equipment: [List of Products and Equipment]. The Client will furnish the following cleaning products, chemicals, and equipment: [List of Products and Equipment].

All chemicals used will be disclosed to the Client and will comply with all applicable Hawaii laws and regulations. If requested by the Client, the Provider will use environmentally-safe products.

3. Performance Standards

Option A: The Provider guarantees satisfactory performance of the cleaning services. Completion criteria shall be: [Describe Completion Criteria, e.g., Visual inspection, Checklist].

Option B: Upon completion of the cleaning services, a walkthrough will be conducted with the Client to ensure satisfaction.

If the Client is not satisfied with the cleaning services, the Provider will re-clean the areas in question within [Number] hours/days.

4. Access and Security

Option A: The Client will provide the Provider with access to the property. The method of access will be: [Key/Alarm Code/Other].

Option B: The Client will be responsible for providing a secure entry and exit for each scheduled cleaning.

10. Independent Contractor Status

The Provider is an independent contractor and not an employee of the Client. This Agreement does not create an employment relationship between the parties.

11. Permits and Registrations

The Provider represents and warrants that all required Hawaii State and County permits and business registrations are up-to-date and maintained.

12. Personnel

Option A: The Provider reserves the right to substitute personnel as needed.

Option B: No personnel substitutions or subcontracting is allowed without Client's prior written approval.

13. Confidentiality

The Provider agrees to maintain the confidentiality of any confidential information encountered during the cleaning service. This includes data and access codes.

14. Customer Satisfaction

The Provider is committed to customer satisfaction. Any complaints will be addressed within [Number] days.

15. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Hawaii.

Any disputes arising out of or relating to this Agreement shall be resolved through:

16. Termination

18. Non-Discrimination

The Provider agrees to comply with all applicable Hawaii non-discrimination, language access, and accessibility requirements.

19. Client Instructions

The Client will provide the Provider with any specific instructions or protocols, including those related to culturally sensitive items, pet management, or restricted areas. The Client will also inform the Provider of any hazardous materials present on the property.

20. Job Audits

The Provider will conduct periodic job audits or quality verifications for ongoing contracts.

21. Waste Disposal

The Provider is responsible for the proper disposal of all waste generated during the cleaning service in accordance with Hawaii county ordinances.

22. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral.

23. Amendment

This Agreement may be amended only by a written instrument signed by both parties.

24. Notice

All notices required or permitted under this Agreement shall be in writing and shall be deemed effectively given upon personal delivery or when sent by certified mail, return receipt requested, to the addresses set forth above.
