This Delaware Maintenance Independent Contractor Agreement (the "Agreement") is made and entered into as of [Date], by and between:

2. Compensation

3. Independent Contractor Status

4. Liability and Indemnification
The Contractor shall be liable for and indemnify the Client from and against any and all claims, losses, damages, liabilities, costs, and expenses arising out of or relating to the Contractor's performance of the Services, including but not limited to property damage, personal injury, and death, except to the extent caused by the Client’s negligence or willful misconduct. This includes the contractor’s duty to repair or replace defective work and responsibility for damage to client property. The Client shall provide a safe worksite and shall not be liable for injuries sustained due to pre-existing conditions at the worksite, unless known and not disclosed. The Contractor agrees to hold the Client harmless to the fullest extent permitted by Delaware law.
5. Insurance
The Contractor shall maintain the following insurance coverages:

9. Subcontracting
