12. Indemnification

14. Confidentiality

Provider shall maintain the confidentiality of Client's information, including alarm codes, business processes, and client data. Provider employees shall not disclose or misuse any confidential information.

15. Subcontracting

Provider shall not subcontract any of the services under this Agreement without the express written consent of the Client. Any subcontractors used by Provider must meet the same insurance, licensing, and background check standards as the Provider.

16. Service Interruptions

In the event of service interruptions, delays, force majeure events, or access denials, Provider shall notify Client as soon as reasonably possible and take reasonable steps to minimize the disruption to services.

17. Termination

20. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware. The exclusive jurisdiction and venue for any disputes arising out of or relating to this Agreement shall be in the state or federal courts located in Delaware.

21. Required Client Notices

For residential clients, Client is hereby notified of their consumer protection rights under Delaware law. For commercial spaces, Client is hereby notified that monitoring of the service may occur on the premises.

22. Equal Opportunity

Provider is an equal opportunity employer and adheres to anti-discrimination and sexual harassment policies consistent with Delaware and applicable federal law.

23. Environmental Compliance

Provider shall comply with all applicable Delaware environmental health ordinances, including waste disposal regulations, and use of green products if required by local regulation or client requests.

24. Amendment

This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

25. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

26. Assignment

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party.

27. Electronic Signatures

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Electronic signatures shall have the same force and effect as original signatures pursuant to the Delaware Uniform Electronic Transactions Act.
