1. Service Location(s)

2. Scope of Services

Cleaning Products:

3. Service Hours and Access

4. Staffing Obligations

• Option A: Provider shall ensure that all employees have undergone background checks in compliance with Delaware labor law.

5. Licenses and Permits

Provider shall also comply with local ordinances, such as those of the City of Wilmington, if operating within specific municipalities.

6. Service Fee and Payment Terms

Payment Terms:

7. Delaware-Specific Tax Requirements

The Provider is responsible for all applicable Delaware gross receipts taxes. For commercial clients, Provider will notify Client if there is a determination that the Provider is the employer of record for tax purposes.

8. Service Quality Monitoring

• Option A: Client will conduct regular inspections of the services provided.
• Option B: Provider will conduct self-inspections and provide reports to the Client on a [Frequency] basis.

Client Feedback: Client shall provide feedback to Provider regarding the quality of services.

Corrective Action: Provider will address any issues identified by the Client within [Number] hours.

Consequences for Sub-Standard Service: If service quality is consistently sub-standard, Client may terminate the Agreement.

9. Service Changes

All requests for service changes, additional tasks, or service suspensions must be submitted in writing to the Provider at least [Number] hours in advance.

Any changes to the service scope or fee must be documented in a written change order signed by both parties.

10. Health and Safety

Provider shall comply with all applicable OSHA standards and regulations.

Provider shall ensure safe storage and disposal of chemicals in accordance with Delaware environmental and hazardous waste regulations.

Provider employees will use Personal Protective Equipment (PPE) as required.

In the event of an injury, accident, or property damage, Provider shall immediately notify the Client and their insurance carrier, as mandated by Delaware law.

11. Insurance

Provider shall maintain the following insurance policies with minimum coverage amounts as required by Delaware statute and/or Client requirements:

Provider shall provide Client with certificates of insurance upon request and maintain continuous coverage throughout the term of this Agreement.

12. Indemnification

To the fullest extent permitted by Delaware law, Provider shall indemnify, defend, and hold harmless Client from and against any and all claims, liabilities, damages, and losses arising out of or relating to Provider's acts or omissions under this Agreement.

13. Lost or Stolen Property

Client must report any lost or stolen property, accidental breakage, or allegations of theft to Provider within [Number] hours of discovery. Provider will cooperate with Client in investigating such incidents.

14. Confidentiality

Provider shall maintain the confidentiality of Client's information, including alarm codes, business processes, and client data. Provider employees shall not disclose or misuse any confidential information.

15. Subcontracting

Provider shall not subcontract any of the services under this Agreement without the express written consent of the Client. Any subcontractors used by Provider must meet the same insurance, licensing, and background check standards as the Provider.

16. Service Interruptions

In the event of service interruptions, delays, force majeure events, or access denials, Provider shall notify Client as soon as reasonably possible and take reasonable steps to minimize the disruption to services.

17. Termination

• Option A: This Agreement may be terminated by either party upon [Number] days written notice.
• Option B: Client may terminate this Agreement immediately for cause, including non-performance, willful misconduct, or material breach.

19. Record Keeping

Provider shall maintain accurate service logs, incident reports, and fulfillment verification records. Provider shall cooperate with Client audits or insurance reviews upon reasonable notice.

20. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware. The exclusive jurisdiction and venue for any disputes arising out of or relating to this Agreement shall be in the state or federal courts located in Delaware.

21. Required Client Notices

For residential clients, Client is hereby notified of their consumer protection rights under Delaware law. For commercial spaces, Client is hereby notified that monitoring of the service may occur on the premises.

22. Equal Opportunity

Provider is an equal opportunity employer and adheres to anti-discrimination and sexual harassment policies consistent with Delaware and applicable federal law.

23. Environmental Compliance

Provider shall comply with all applicable Delaware environmental health ordinances, including waste disposal regulations, and use of green products if required by local regulation or client requests.

24. Amendment

This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

25. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

26. Assignment

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party.

27. Electronic Signatures

This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Electronic signatures shall have the same force and effect as original signatures pursuant to the Delaware Uniform Electronic Transactions Act.

28. Periodic Review and Adjustment

The parties acknowledge that this Agreement will be subject to periodic review and adjustment of the scope, fees, or practices based on evolving client needs, local regulations, or changes to Delaware legal standards.
