This Connecticut Consulting Independent Contractor Agreement (the “Agreement”) is made and entered into as of this [Date], by and between:

1. Scope of Services
The Contractor agrees to provide the following consulting services to the Client:

- Option B: The Contractor will perform services as described in Exhibit A, attached hereto and incorporated by reference.
2. Term and Termination

4. Independent Contractor Status

Contractor acknowledges responsibility for providing their own Connecticut workers' compensation insurance or filing for an exemption with the State of Connecticut if applicable.
5. Intellectual Property
All intellectual property rights, including but not limited to copyrights, trademarks, and trade secrets, in any materials created by the Contractor in connection with the services performed under this Agreement shall be owned by:

- Option B: The Contractor.
- Option C: The Contractor shall grant the Client a perpetual, non-exclusive, royalty-free license to use such materials.
6. Confidentiality
The Contractor agrees to hold confidential all information relating to the Client's business, including but not limited to trade secrets, customer lists, and financial information. This obligation shall survive the termination of this Agreement. The contractor will adhere to all relevant Connecticut privacy statutes and industry specific regulations as required.
7. Non-Solicitation
During the term of this Agreement and for a period of [Number] months following the termination of this Agreement, the Contractor shall not solicit or attempt to solicit any employees or customers of the Client, within a [Number] mile radius of [Client Address]. 8. Limitation of Liability

16. Waiver

17. Assignment
This Agreement may not be assigned by either party without the prior written consent of the other party.
18. Compliance
The Contractor shall comply with all applicable federal, state, and local laws and regulations, including those specific to Connecticut. If the services involve a regulated industry, the Contractor shall adhere to all Connecticut professional licensing or regulatory requirements. The Contractor will also disclose any potential conflicts of interest to the client.
