This Maintenance Independent Contractor Agreement (the "Agreement") is made and entered into as of [Date], by and between:

Compensation

Option A: The Client shall compensate the Contractor as follows:

  • Estimated Hours: The estimated hours for each project will be determined and agreed upon prior to the start of the project.
  • Reimbursement: The Client shall reimburse the Contractor for the cost of parts and materials, upon presentation of receipts. A [Percentage]% markup will be added to all reimbursed amounts.

Risk Allocation

The Contractor shall be liable for any property damage or bodily injury caused by the Contractor's negligence.

The Contractor shall maintain insurance certificates demonstrating adequate coverage, as required in Section 5.

The Contractor's liability shall be limited to the amount of insurance coverage.

The Contractor is responsible for any loss or theft of their own tools and materials.

Dispute Resolution

Prior to initiating any legal action, the parties shall attempt to resolve any dispute through good faith negotiation.

If negotiation is unsuccessful, the parties shall attempt to resolve the dispute through mediation in [City, Arkansas].

This Agreement shall be governed by and construed in accordance with the laws of the State of Arkansas.

Any litigation or arbitration shall take place in [County], Arkansas.

The prevailing party in any dispute shall be entitled to recover its reasonable attorneys' fees and costs.

Confidentiality and Client Data

Intellectual Property

Any reports, manuals, or custom maintenance solutions prepared by the Contractor shall be the property of [Client/Contractor].

If the property of the Contractor, the Client shall have a non-exclusive license to use said intellectual property.

Subcontracting and Assignment

The Contractor shall not subcontract any portion of the Services without the Client's prior written consent.

Any subcontractors must meet all Arkansas legal and insurance requirements.

The Contractor shall not assign this Agreement without the Client's prior written consent.

Termination

Amendments and Waiver

Any amendments to this Agreement must be in writing and signed by both parties.

Notices

All notices shall be in writing and shall be deemed effective upon delivery, whether by personal delivery, certified mail, or email.
