Confidentiality

  • Obligations: Consultant shall protect the confidentiality of Client's Confidential Information and shall not disclose it to any third party without Client's prior written consent.
  • Permitted Disclosures: Consultant may disclose Confidential Information if required by law, provided that Consultant gives Client prompt notice of such requirement.
  • Duration: This confidentiality obligation shall continue for [Number] years after the termination of this Agreement. Subject to Arkansas Uniform Trade Secrets Act, Ark. Code Ann. § 4-75-601 et seq.

Data Privacy

Limitation of Liability

Indemnification

  • Consultant shall indemnify and hold harmless Client from and against any and all claims, damages, liabilities, costs, and expenses arising out of Consultant's negligence or willful misconduct in connection with the services.
  • Client shall indemnify and hold harmless Consultant from and against any and all claims, damages, liabilities, costs, and expenses arising out of Client's misuse of deliverables provided by Consultant.

Representations and Warranties

  • Consultant represents and warrants that: (a) Consultant has the expertise and qualifications necessary to perform the services; (b) the services will be performed in compliance with all applicable federal and Arkansas laws and regulations; and (c) the services will not infringe on the intellectual property rights of any third party.

Amendment

  • This Agreement may be amended or modified only by a written agreement signed by authorized representatives of both parties.

Insurance

  • Option A: Insurance Required

Force Majeure

Severability
