This Alabama Creative Independent Contractor Agreement (the “Agreement”) is made and entered into as of [Date] by and between:

Intellectual Property

Confidentiality

Independent Contractor Status

The Contractor is an independent contractor and not an employee of the Client. Nothing in this Agreement shall be construed to create a partnership, joint venture, or agency relationship between the parties. The Contractor is responsible for paying all applicable federal and Alabama income and self-employment taxes. The Contractor is not entitled to any employee benefits from the Client, including but not limited to health insurance, paid time off, or workers' compensation. Refer to Alabama Code § 27-7-23/24 regarding independent contractor status.

Liability

The Contractor shall be liable for any damages caused by their negligence or willful misconduct in the performance of the Services. The Client shall not be liable for any injuries sustained by the Contractor while performing the Services. The Contractor agrees to indemnify and hold the Client harmless from any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to the Contractor's performance of the Services.

Subcontracting

  • Option A: The Contractor shall not subcontract any portion of the Services without the prior written consent of the Client.
  • Option B: The Contractor may subcontract portions of the Services, but the Contractor shall remain fully responsible for the performance of the Services and the acts and omissions of any subcontractors. The Contractor warrants that all subcontractors will adhere to all terms and conditions of this Agreement and comply with all applicable Alabama licensing laws for their respective trades.

Client Review and Acceptance

The Client shall have [Number] days to review each deliverable submitted by the Contractor. If the Client does not approve the deliverable, the Client shall provide the Contractor with specific feedback. Termination

Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved through good faith negotiation between the parties. If the parties are unable to resolve the dispute through negotiation, they shall submit the dispute to mediation in [City, Alabama]. If mediation is unsuccessful, the parties may pursue arbitration or litigation in the state courts of Alabama, applying Alabama law. This provision does not waive any rights under the Alabama Uniform Arbitration Act.

Alabama Contract Disclosures
