The client will not be liable for damages from professional advice, project delays, errors, or omissions.

To the extent permitted by Alabama law, the Client's liability to the Consultant shall be limited to the amount of fees paid to the Consultant under this Agreement.

9. Insurance

10. Non-Solicitation and Non-Compete

15. Notices

All notices under this Agreement shall be in writing and shall be deemed to have been duly given when delivered personally, sent by certified mail, return receipt requested, or sent by email to the addresses set forth above.

16. Assignment and Subcontracting

The Consultant shall not assign this Agreement or subcontract any of the Services without the prior written consent of the Client. The Client requires consent for any subcontractor use.

17. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications and proposals, whether oral or written.

19. Amendment

This Agreement may be amended only by a writing signed by both parties.

20. Waiver

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the waiving party.
